3. Client Responsibilities
When engaging our Services, you agree to:

4. Intellectual Property
Pre-existing Materials: Each party retains ownership of their pre-existing intellectual property.
Deliverables: Upon full payment, we transfer rights to final deliverables as specified in individual project agreements.
5. Payments & Fees
- Projects require a deposit unless otherwise agreed
- Custom payment terms may be established in project contracts
6. Cancellation & Refunds
Cancellation: Projects may be cancelled with written notice. Deposits are non-refundable for work already completed.
Refunds: Considered on a case-by-case basis for undelivered Services.
7. Region-Specific Provisions
European Union (EU)
- Right of Withdrawal: Business clients (B2B) waive the 14-day withdrawal right under Article 16 of Directive 2011/83/EU by expressly requesting service commencement.
- Consumer Protection: For individual consumers (B2C), mandatory EU consumer rights apply notwithstanding these Terms.
United States
- Dispute Resolution: Any disputes may be resolved through binding arbitration in accordance with the American Arbitration Association rules.
- Class Action Waiver: Claims must be brought individually, not as class actions.
Latin America
- Brazil (LGPD): Data processing complies with Lei Geral de Proteção de Dados (Law 13.709/2018).
- Mexico: Consumer relationships are governed by the Federal Consumer Protection Law where applicable.
8. Limitation of Liability
YoyooInc shall not be liable for:
- Indirect, incidental, or consequential damages
- Third-party actions affecting your project
- Delays caused by force majeure events
Regional Variations:
- In EU jurisdictions, liability for death/personal injury caused by negligence is not limited.
- In Brazil, limitations don't apply to willful misconduct or gross negligence under Art. 389 of Civil Code.
9. Governing Law & Dispute Resolution
- Primary Jurisdiction: Disputes shall be primarily resolved in [Neutral Country, e.g., Portugal] under [e.g., UNIDROIT Principles].
- Alternative Venues: You may bring claims in your local jurisdiction to enforce mandatory consumer protections.
- Mediation: Parties agree to attempt mediation before litigation.
